Agreed, the company is down to only 5m shares. They need more shares as a matter of simple running the company. If they don't get the shares, it will put them in a weaker negotiating portion in deal making. Institioanl investors know that. It's only angry retail investors who, if they vote against the authorized shares, are voting against their own interests.
