Diwan + Theracour own more NNVC stock than all of the other major shareholders and directors combined. See p. 83:

Seems this comes down to it being Diwan's decision to make himself "acting CEO" at this juncture.

Hard to imagine Seymour walking away from another year's worth of free money, unless he has health/psychiatric/legal reasons that make this option preferable.
