Here's the kicker...Remember Jimmy filed required 14a for shareholder meeting to raise 300m AS to 1B AS.. https://backend.otcmarkets.com/otcapi/company/sec-filings/12283656/content/html ..then Jimmy cancelled meeting because he hadnt finalized the BizRight deal yet and needed it to be further along to pitch to shareholders to raise AS.

Then weeks later Jimmy released 8k about BizRight cash and share compensation arrangement...

Notice, "effective contract date Bizright will be compensated 200m shares"...SGMD does NOT have 200m shares to give Bizright at this time! (And Jan. email confirmed AS increase required to compensate BizRight).Jimmy MUST announce another required shareholder meeting to get the needed AS increase!

We've got an either/or situation here...Either Jimmy bullchittin' about BizRight LOI and SGMD price collapses or, Jimmy's recently announced BizRight's Chenlong Tan as a new SGMD Director, revealing the new Monrovia, CA corporate office, and hiring additional personnel are real intentions to follow through on BizRight deal..

Panjiva/Import Genius international Bill of Ladings confirm over 500 huge BizRight hydroponic supplies shipments! Does BizRight do $30m? ..$40m? Idk, but i do know BizRight does a heluva lot of hydroponics supplies business! I mean A Lot! And those $30-40m numbers are huge when added to SGMD $4.5-6m 2017 revenues!


Jimmy confirmed in January that BizRight deal "executed".. I'm not sure exactly what that means because i assume the deal isnt finalized until BizRight receives initial 200m SGMD shares to finalize deal..Maybe LOI deal has advanced to Jimmy's term "executed" status, and BizRight deal moving forward and Jimmy getting infrastructure "ducks in order"..??..once all in place, along with outside audited financials for last three Q's filed, Jimmy then schedules the shareholder proxy meeting to raise AS to 1B or more...depending on the SGMD overall "sales pitch".

So, we know BizRight revenues confirmed BIG per Panjiva records..We know BizRight Chenlong Tan became a recent SGMD Director..Jimmy recently provided new Monrovia office location..seems like a lot going on if BizRight a fluff LOI pump..??

I'm anticipating Jimmy will soon issue an 8k update providing more concrete BizRight details and guidance numbers and schedule another shareholder meeting to raise AS...and anticipating this exciting BizRight MJ sector news will excite buying frenzy for the short term (several weeks) "tight" share structure until he can raise AS and give BizRight the mentioned 200m SGMD shares...SGMD timed price pop could be a really BIG dandy if Jimmy delivers! gl
