At the close of business on the Record Date, there were 434,981,824 shares of Delcath common stock issued, outstanding and entitled to vote.

Okay, so all the placement shares have been issued. Who, then, would have purchased the remaining 180,000,000 shares on Friday only to announce the possibility of a RS just three days later? Surely they must have known and how will they vote?

This does not make sense.
