Oh...let’s see.

1) OS is currently at 8.5 Billion and climbing.
2) Dilution in the last 3 months has averaged over a quarter of a BILLION shares per month.
3) At that rate the AS is maxed out in 6 months.
4) That doesn’t even include the 800 million shares needed to be reserved in the AS for the Helpcomm convertible Preferred D
5) The company still has approximately $1.3 million in convertible debt excluding interest...and no sign that they can avoid taking on more. At recent conversion terms that is between 1.3 and 2 Billion shares alone.

There has been no sign of his ability to attract “equity investors” despite talking about them for two years now.

Oh...an he has done a reverse split TWICE already.

When he raises the AS...and that is a given...it will have a negative impact on the pps. Once the OS goes over 10 Billion it will be in “OTC Joke” terrritory. Many many pink stocks have trouble maintaining a bid at the OS let alone a stock above the trips.

And once in the trips...all of the above numbers become worse. The Helpcomm shares due, the convertible share equivalents...all the conversion terms go to hell. If the stock goes back to 0.0005 as an example Helpcomm is due 4.8 BILLION shares and a million dollars of convertible debt would require 4 BILLION shares.

So...plenty makes me “say this”. wink
