5.8 Authorization, Issuance, and Delivery of New Shares.
On the Effective Date, each Reorganized Debtor is authorized to issue or cause to
be issued, and shall issue, the New Shares for distribution in accordance with the terms of thisPlan, its Certificate of Incorporation, and its respective Governance Agreement, without the need
for any further corporate or shareholder action.
