I'm no expert in running a business in China. But from what I gather from reading a few different sources, Pharmaceuticals is one of the most state controlled sectors in China. Government decides who can do what with who. So however this venture was set up, it was likely done this way to please Chinese officials.

Also China has some of the cheapest research cost for trials. So maybe this is where some of these future studies for PH3 get done.
