If there were a verbal agreement and and an executive traded stock on it it would be "material" enough for insider trading and thus material enough for an 8-K. The point is, if it's not material they shouldn't be PR'ing it - a legitimate company would wait until something material was truly there and then file an 8-K. A serial pumper releases positively spun ambiguous PRs without detail and then when the details emerge, if ever, they are usually disappointing relative to the spin.
