The proxy is only talking about the EPGL to InWith share conversion...

It does not address whether or not they are issuing shares...

Can you quote where you believe that it says they are not offering shares?

If they don't offer shares, how are they going to raise funds? Of course thy will be offering shares... if they can find any buyers!
