The leak agreement and 15 day cooling off period was to assist in finalizing and stabilizing Roth's newly drafted 250 million share offering, and 4 cent offering price. They spent too much time lining up the partner(s)/institutional investors, and agreement terms to have it waylayed at the last minute.
