I agree that some type of merger is in play here. My hunch is that it's with a company trusted by Ghana and/or with ties to Ghanaian politicians. I don't think the expediency payments to individuals passed the foreign bribery test, so they found another way.

I can almost guarantee that whoever was going to get the payments will likely be a major shareholder of new co. But, that's legal Capitalism.
