"Kitov Pharmaceuticals Holdings Ltd. (the “Company” or the “Registrant” announces the completion of its previously announced merger with its wholly owned subsidiary, Kitov Pharmaceuticals Ltd. (the “Company Subsidiary”), with the Company remaining as the surviving entity. The Company received the Merger Certificate from the Israeli Registrar of Companies with a merger date effective as of December 14, 2017. As set forth in the Agreement and Plan of Merger between the Company and the Company Subsidiary, and in accordance with Section 103 of the Israeli Income Tax Ordinance [New Version], 1961, the merger shall be deemed to have been consummated on, and effective as of, December 31, 2017".

"Management of the Company expects that the merger will be completed at or prior to the end of the 2017 calendar year, and that only following the issuance of a Merger Certificate by the Registrar of Companies will it then deliver to the Registrar of Companies a notice of the approved name change resolution by the shareholders of the Company, together with the proposed new name of the Company and the required alternative names. At the time the Name Change Certificate is issued by the Registrar of Companies, the Memorandum of Association and Articles of Association of the Company will be amended to reflect the new name of the Company".

Based on these two filings, the holding co. Kitov Pharmaceuticals Holdings Ltd and the wholly-owned subsidiary Kitov Pharmaceuticals Ltd. are now one entity: Kitov Pharma Ltd.
