Exactly. There are restrictions for 10%+ holders. 10%+ holders have to file their sells. They are also strict volume restrictions.

Restricted shares that are issued have holding period restrictions. In this case it appears company is not issuing enough shares to former note holders to push them over 10% of OS. Making the above restrictions null.
