Thanks to Sirius, for posting the link & statement to the SEC for the S-3..

As it states, this is a registration statement but it mentions as a prospectus also.. In the statement we now know who the private placement party is, as named Enable Capital Management..

It also names who the selling stockholders of record are in this 2.4 million shares and proceeds of $6.0 million..

The prospectus part covers the 5,206,998 shares that may be offered and sold from time to time by the selling stockholders.. Telkonet will not receive any proceeds from the sale of these shares and estimate a cost of approximately $29,600.. This must be somewhat dilutive but just how much I'm unsure.. As it then states, further issuance of equity securities may be dilutive to current stockholders..

In addition to the past history of this Telkonet company it gives a lot of pros & cons, risks, and information relating to the operation and forward success of the future..

There is a lot of information in this registration/prospectus and should be read by every investor/stockholder of Telkonet.. To my rookie analysis, many questions are being answered in this document that were being asked for the past month on these MB's..

Since these funds from the private placement sale are being used for everyday working capital purposes and as they say, it being likely the need for seeking addtional capital in the future, does make one grit their teeth a bit..

There isn't any doubt in my mind that Telkonet needs to align their top management, complete their new CFO with a high caliber and well respected person, streamline their development of new quality products and enhancements.. They can't be pussy-footing around, sorry girls, as the competition is rapidly developing.. You can see that with the Motorola news and I would have to believe that Cisco will want a piece of the action, if you know anything about their history in the marketplace.. When they like something they just purchase companies and "wolla", they are instantly a competitor..

There are many irons in the fire that Telkonet has going on and some of the more important negotiations and contracts that are allegedly imminent, should provide the necessary revenue to fuel this company for the near to intermediate term and most probably for the next couple years.. I only say allegedly because we haven't seen them and they haven't been announced as yet..

Telkonet and their top management are going to have to show they have the balls and competence to lead and survive in this technology.. Right now I am a believer...
