Though I can't pretend to know the internal deliberations of SMI or VNDM (The market maker that keeps driving down the price.), according to GTHP's latest quarterly report (Filed on 11-20-2017) in the first paragraph of page 14 it says:

"As partial consideration for, and as a condition to, the license, and to further align the strategic interests of the parties, the Company agreed to issue $1.0 million in shares of its common stock to SMI, in five installments through October 2017, at a price per share equal to the lesser of the average closing price for the five days prior to issuance and $1.25. These shares have not been issued as of September 30, 2017."

If I remember correctly, VNDM started driving the price down well before September 30. I believe it started in August. I'll reference an old SPM555 post, I hope he doesn't mind. He's been very knowledgeable about this stock.

According to the agreement between GTHP and SMI, SMI should have gotten their last shares 30 days after their last payment. Their last payment was supposed to have happened on October 30, 2017; meaning they should have received the last of their shares at the end of November of this year.

Section 1, Subsection B shows the payment schedule between SMI and GTHP.
Section 1, Subsection C states that for each payment, SMI is supposed to get GTHP shares, and about transferring the shares to SMI.

Now I have no idea why SMI hadn't received any shares prior to September 30th, but I find it unlikely that VNDM would start driving the price down 4 months before SMI had any shares to cash in on, if they were in cahoots (That's a fun word). It would seem like VNDM is converting shares for someone else, and has been for a while.

Though I could be wrong. I'm no expert.
