Of course this is still dilution, just not as toxic and better structured. The debenture notes are convertible to common shares of stock - albeit at prices that are around where we are now. So, in the future if the share prices rises so will the amount of dilution from this round of financing.

Good news is that the investors (who have not yet stepped up and subscribed, as far as we know) know all of this and presumably have made their investment decision with all variables in mind.
