CE on Crypto Company= Good News for RMRK: The CE issued to The Crypto Company is due only to a lack of tradable shares IMO. There is a serious illiquidity problem with CRCW... but the good news is that the merge with RMRK solves the problem.
The Crypto Company purchased Croe (CRCW) with a Restricted Share Agreement and a Free Trading Share Agreement. The majority of the shares purchased were restricted unregistered shares and only 850,000 are registered. Croe only filed one S-1 for 850K shares that went into effect. (links below). So, realistically the float for CRCW is only 850K, therefore the huge fluctuations in CRCW's PPS. However, the restricted share purchase allows CRCW to raise funds through private placement selling only to accredited investors. The most recent selling at $7 per share. Page 23 of CRCW's most recent 10Q tells these accredited investors what their near term future holds.
I see the RMRK / CRCW merger being extremely beneficial to both parties. IMO, through a share exchange CRCW will split and RMRK will reverse split and the 2 will meet somewhere in the middle all becoming registered tradable shares of The Crypto Company. The shares will be valued on an arbitrary or non-arm’s-length basis as mentioned on page 23 of the recent CRCW 10Q. A legitimate PR on the merger will send RMRK's PPS soaring upwards just prior to the merge (IMO). The fact that the OTC has now placed Caveat Emptor on CRCW will light a fire under CRCW to get liquidity to all of the accredited investors' who just bought shares and there's only one way to do it fairly soon: $RMRK.
