Legally the governance lies with the Secretary of State of each individual state within the United States. Every state has its own laws on how they govern corporations and no two states are exactly alike

Long story short the paperwork was not completed with the secretary of state until November due to name change delay or ticker which would then give the legal right to report consolidated financial statements from subsidiaries.

I also heard many times on here that the merger was done already but I think people were just referring to the fact that it was going through or it was already agreed-upon on paper with legally binding contracts or something of that sort but regardless of whatever contract you and I or anyone has with each other it is still up to the Secretary of State of each individual state and paperwork being filed until you can legally report financials of any subsidiary or consolidation
