No access to the money, thus no building until they register a boatload of shares with the SEC that can be sold in the market and issued at a discount from the company to the so called lender. The lender is simply buying discounted stock, providing the company with capital and recouping his dough in the public markets. Look at it like a mini ipo or dilution of the current market value. The so called investor or lender needs to be able to sell shares into the open market and thus they need to be registered shares of which no registration statement has yet been filed nor is one effective.
