SECURITIES PURCHASE AGREEMENT

This SECURITIES PURCHASE AGREEMENT (the “ Agreement ”), dated as of August 21, 2017,

1. PURCHASE AND SALE OF CONVERTIBLE NOTES.

(a) Convertible Notes . The Company shall issue and sell to each Buyer, and each Buyer severally, but not jointly, shall purchase from the Company on the Closing Dates (as defined below), an aggregate of up to $16,500,000 of Convertible Notes,

(b) Closing . The closings (each, a “ Closing ”) of the purchase of the Convertible Notes shall occur in up to three tranches of up to $5,500,000 each, with the first tranche closing upon the execution of this Agreement, and, at the mutual agreement of the Company and each Buyer, the second tranche closing on the four (4) month anniversary of the date of this Agreement (or the next business day if such date is not a business day), and the third tranche closing on the eight (8) month anniversary of the date of this Agreement (or the next business day if such date is not a business day) at the offices of Robinson Brog Leinwand Greene Genovese & Gluck, P.C. The time of each Closing (each, a “ Closing Date ”) shall be 10:00 a.m., New York time (or such other time as is mutually agreed to by the Company and each Buyer). In addition, the parties may change the Closing Date of either or both of the second or third tranches by mutual agreement.
