The reason is because SIAF (on OTC) can't get a proper valuation but the spin-off shares (listed in HK) can.

The only question that remains is, why so soon?

The same question could be asked for the F-share dividend and extraordinary dividend they were planning (prematurely) in the past.

Another reason could be, because they may want to reduce their 36.6% stake and give pre-IPO investors a bigger stake in the company. Which increases value.
