Technically, we did not do an IPO previously. Tempus merged with an existing public entity – Chart Acquisition Corp – in a “business combination” that was effective in Aug 2015.

Technically?
That sounds pretty weaselly. Perhaps, a more direct response is forthcoming. I believe people are expecting to know something like this:
1. Your TMPS shares will be converted to the new issued shares and a new share structure will be created
2. The new TMPS shares are a sort of reverse offering that increases the A-S and are dilutive
3. The new TMPS shares are a new class and won't be additive to the existing TMPS A/S but are still dilutive

Some people will understand these points; some will not. It's a choice.
