I'm pretty sure this just means they wont be required to do filings as that is what 12h-3 covers. Its why they listed the number of shareholders

if the number is under a certain amount they can petition to do this. could be a way to save a few bucks, could be shady because of the lack of PR from the company. Only a statement from them will clear it up.
