Having millions of worthless shares is no reason to win.

No matter what Dan does his shares lose value.
He's already lost 90%.
Then gave away 35% of the 10% he had left.

Now he either has to RS or raise the AS which only makes him lose more.

By losing the case he can write off his losses and still gain 49% of the asset which is worth far more than his millions of worthless shares
