THE NNVC PIPE IS BEING SHOPPED

I heard of one PIPE investor who was presented the NNVC deal by a PIPE broker. Apparently, there is a whole subculture of investors and middlemen who engage in PIPE investing. It's an entirely justified subset of investors and finders and it is a very common way for early-stage pre-revenue companies to raise money.

What I gather is that an NNVC deal has been shopped over the last six or more months. There is a great deal of competition ( many more deals than there are dollars) so even the best deals don't have it easy. However, with a deal like NNVC's, covered with hairy warts and blemishes galore, it is very difficult at best and impossible at worst unless the deal is structured so that it is almost sure to guarantee the PIPE investor will make a good return at almost no risk.

To the extent that the deal is good for the PIPE investor it is bad for the stockholder in NNVC.
