But that would have no impact on what the price per share would be. If there is a buyout, kitov is not buying out kitov. If Pfizer(example only), bought the company for $300m, the price is calculated off that $300m payment.

Nothing more, nothing less. It’s simple math. Look at KITE for an example.

Take proposed buyout price, divide that by shares outstanding. Now look at the share price being traded.
