If DP gets its deal done signed, work executed and paid for it then yes the PO is valid. If DP doesn't get the deal closed and doesn't execute the work and doesn't get paid then the PO is worthless. The MAP agreement stipulated a paid when paid and this PO was issued under that.

It's not complicated.
