If they are a real company, why do they claim to have sold their entire business, and why do they haven't managed to post any financials in 2 years ?

Why sell a business which, according to their unaudited financials, was generating more than $100M in sales, $15M in profits annually ???

Why announce a merger, and then to be utterly unable to provide any significant detail ?
