(ii) file the Company’s articles of incorporation reflecting a change in our name from “Croe, Inc.” to “The Crypto Company” (the “ Proposed Name Change ”); (iii) adopt the 2017 The Crypto Company Equity Incentive Plan (the “ 2017 Equity Incentive Plan ”); and (iv) appoint Hall & Company, Inc. (“ Hall ”) as the Company’s independent auditor for fiscal year 2017 (the “ Auditor Ratification ” and, collectively with the other proposed actions, the “ Corporate Actions ”). The Corporate Actions were also unanimously approved by our Board.
