I guess you don't understand: what you're suggesting has occurred is straight up securities fraud...

i.e., Deliberately withholding material information with the purpose of manipulating the stock price for the enrichment of a 3rd party.

There's not much incentive for management to take that risk when they're already enriching themselves legally at the expense of silly shareholders.
