He would be right. The current OS is about 1.47 Billion shares issued and outstanding. The current AS is 2.7 Billion shares. If they issue an additional 1 Billion shares then the OS would increase to about 2.47 Billion which is less than the authorized...but that would leave a little more than 200 million in room left in the AS. That will not support the note conversions so either the AS will have to be raised or they will need to do an RS.
