Here is some honesty for you:
Go to page 20 of the old S-1 and you will find that the number of shares owned by the 3 parties involved in the private placement was 40 mill. each.
Go to page 22 of the new S-1 and you will find that the number of shares owned by the 3 parties involved in the private placement was 25 mill. each.
If you want to find that 42 mill. share difference, maybe you'll find it by taking the 14 mill. share difference each from the above and multiply it by the 3 parties. 14 X 3 = 42.
Now where did those 42 mill. shares go?
" Includes 13,333,334 shares of common stock that are covered by this Prospectus, and 13,333,334 shares of common stock issuable upon the exercise of Series A Warrants and 13,333,334 shares of common stock issuable upon the exercise of Series B Warrants. These shares of common stock issuable upon exercise of the warrants are not covered by this Prospectus."
Again on page 20 of the old S-1.

I realize that 14,000,000 is not 13,333,334 are not the exact same number, but I could see that they could have easily rounded the new number to be offered to come out with 14 mill.shares less, each.

I hence, this is where the dilution is coming from that some have been noticing, at least the "honest ones".
The only restrictions I see on selling these shares is on the Warrants, I don't see restrictions on the initial 13.3 mill. shares.
