TD AMERITRADE has made a business decision to restrict the trading of this security based upon it's recent trading history.

We encourage you to be diligent in learning the essential facts relative to the securities held in your account. Concentration levels, liquidity and trading complexities should be reviewed and monitored closely. It's important that your investment strategy remain consistent with your investment objectives, risk factors and all regulations that pertain to trading. On occasion, clients inadvertently adopt a strategy that may violate trading regulations. You can help yourself avoid situations like this by taking this opportunity to familiarize yourself with strategies that are considered Manipulative Trading Practices (MTP).

MTPs are the purchase, sale or other transactions in any security for the purpose of:

- Creating or inducing a false, misleading or artificial appearance of activity in a security.

- Unduly or improperly influencing the market price of a security.

- Making a price that does not reflect the true state of the market in a security.

- Trades which result in no change in beneficial ownership.

- Pre-arranged trading with other parties

Terms commonly used to describe manipulative trading practices include:
Wash Trades,
Matched Trades,
Painting the Tape and
Spoofing.
Accounts directly or indirectly engaged in manipulative trading practices may be subject to trading restrictions, account closures and/or regulatory penalties.
