In Nevada I believe no majority is required. The BOD can do whatever they wish as far as officers.

It's also not uncommon, especially with Pinks, for officers and directors to NOT own a majority of shares.

In fact, with many, the figurehead acting as CEO or Pres, has none, or a piddling amount.

I was once offered the position of Pres of a mining company...all I'd have to do is sign my name to various documents and filings. LOL I know a little about mining, but even then, it amounts to dick all.
