The stock issuer in this case has expressed the desire to go to NASDAQ, and their actions are in clear alignment with that goal. The earliest one being the hiring of Richard Orevec. The company has more than enough going on to justify the pps needed and to make the jump, imo.

So from *their* viewpoint, it makes the most sense to not dilute, kill the pps, burn shareholders, and reduce the value, thereby making the jump to NASDAQ much harder.
