+ Your math makes the most sense. 150M OS converted into 1M in ESW, where ESW put that ownership into UPLD, which based on UPLD OS gives ESW (hipp shareholders) about 9 to 10% ownership in UPLD. ESW has another class of 2.8M+ shares in UPLD.

ESW is overall about a 20% stake in UPLD.

3.8M+ in 20.2M OS (UPLD).
