It appears to me that the preferred shares were created to give to the different entities that will each form a piece of the new holding company.

I'm not sure what all of the implications are of the company being able to buy back those shares, but suspect it has something to do with either spin-offs or the others cashing in and going their own way.

We need a legal expert to weigh in on it...
