The SBA financing was just an idea. Could equally be a straight loan from a bank. Basically the company proves to its shareholders that it has a commercially viable idea backed by a non-toxic financier. Then management works through its plan, and hopefully the market supports the plan. If not, there's no detriment to the timeline.

By owning say 90%+ of the outstanding shares, management effectively controls 100% of the future in all types of scenarios.

I just see limited value in a non-profitable public company going private, and while there may be short-term value in a profitable public company going private, it impacts the exit strategy so less benefit over the long-term.
