Greenpay didn't work, assets too(?). The announcement in 2014, of intent to acquire Greenpay, (June), and the accomplished acquisition (August): Was nothing unusual. Greenpay was owned by MyECheck, but was a separate entity. MYEC would only keep license royalties. The separate entity would operate its business, use separate entity assets, use separate entity employees, and (use separate entity whatever(?)). Shown below, others do that. Problem happened: Greenpay didn't work. Then what happened: Mostly attorneys and accountants know anything about. So effectively MYEC did not show ownership of any properties, as auditors noted, and then other auditors affirmed. The separate entity using the assets in its operations: Was struggling, with whatever it had. "Payment of Damages," can happen, shown below(?): When things don't seem to be working out.

Normally, the theme of a license is that the licensor is passive, merely receiving royalty payments, while the licensee engages in the business or development and is free to exploit so long as royalties are paid and other criteria met. Failure to abide by the license agreement by the licensee normally results in termination of the license as well as payment of damages to the licensor.
