iTalk is all over them because UMS has operated as a subsidiary of TALK. Of course they are all over them.

Why would Fox merge with debt riddled, O/S maxed out TALK? Why would the owners of Fox share with TALK shareholders and assume TALK's massive (and overdue) debt, with the legal judgements that go with it? Why wouldn't they merge with a clean shell?

The obvious answer is, they wouldn't. TALK provides them with NOTHING. TALK shareholders are getting nothing, but some of UMS's old debt they guaranteed to take Lee of the hook.
