give me the fact that NEWC is going to be delisted



NEWC is not listed, so therefore it cannot be delisted. By definition, listed (and delisted) refer specifically to stock exchange listings. Any stock traded solely US OTC is not listed.

But, NEWC will be suspended and its registration with the SEC will be revoked for delinquent filings. And that is much worse than being delisted, since the stock will cease to trade anywhere. And it can happen at any time, without warning.
