The 8-K has been misinterpreted - it is a anti-dilutive clause for the Series B Preferred Shares.

The Series B shares will be increased in proportion to the the reverse split - then the Series B will be decreased by the reverse split - so for the insiders it is a wash.

Let say the reverse split is 1:10 - if the insider had Series B stock worth 100 shares pre split - they would have 100 shares post split.

If a retail shareholder had 100 shares pre-split - they would have 10 shares post split.

Peterson just protected himself and the other insiders but screwed over the shareholders.

Investors should expect a reverse split in the next 90 days.
