I get that it hasn't happened yet but if we take the 110 million + 12 million for a total of 122 million X 5% = 6,100,000 shares would be the threshold (slightly higher if 111 million).

So for some investors we will need to disclose the 5% ownership after the 10k and whatever the effective date is for the share change.

The bottom line is that in the near future anyone holding a little more than 6 million shares may need to declare their 5% ownership, assuming that we are correct (or in the ballpark) of what the final share count will be.

This includes anyone on the board who understands the 5% ownership sec rule.
