Main reason I disagree with your view is that if "THEY" were to do an "AS IS" on the current share structure a future private placement would REDUCE their % ownership. Better to do it from a 95% control than a 60% control. Of course they could issue themselves NON-TRADEABLE PREFERRED CONTROLLING SHARES.
