There are legal ways around the restrictions... if they want to bother with the rules...

StockVest is a non-affiliate.

If StockVest were given the restricted shares from another non-affiliate, they get to tack on that non-affiliate's holding period to their holding period. i.e. the shares can already be post restriction.

Also if the other non-affiliate has had those restricted shares for 2 years then there are no selling restrictions whatsoever!
