Playing devil's advocate but I would argue that may be a form of blindly forcing Peregrine into a RS and the reason why I say there are other ways to structure a deal

Peregrine could never say they "had" to follow such M/A terms because nothing would have been finalized

Also....if the rules changed on such "new" M/A terms....maybe another vote should have taken place

Also I mentioned before it is important for shareholders to know the breakdown of shareholders that voted FOR this RS last year vs how those numbers changed over time

Lots of ways to manipulate the pps and manipulate Peregrine into a RS which hurts current shareholders and would help a future partner
