I am familiar with Colorado Corporate Law so I know what I am talking about. Under that law buybacks are treated as distributions to common shareholders and such distributions are illegal when a company's liabilities exceed their assets, as it violates the preferential right to assets that debt and preferred equity holders have.

Please feel free to review Article 106 of Title 7 of the Colorado Revised Statutes.
