TO OUR STOCKHOLDERS:

Stockholder Approval Required. Pursuant to the Purchase Agreement, we are required to use commercially reasonable efforts to hold the Special Meeting in order to, among other things, approve a charter amendment increasing the number of authorized shares of our common stock from 100,000,000 shares to 200,000,000 shares and satisfy NASDAQ requirements with respect to the issuance of the Convertible Preferred Stock and the issuance of our common stock upon conversion of the Convertible Preferred Stock and exercise of the Warrants by certain holders whose warrants are initially subject to the 19.99% Limitation (as defined below).
