Nope thats incorrect he did indeed lie in his video when he said.

1) that the 300 million shares were retired. They were not retired they were issued for debt to be sold in the open market

2) He lied and said they have no debt. Q1 filing clearly shows the new company has 2 toxic loans. One for $25k and one for $30k
