Yes, you got it. But do remember that all dilutive companies work this way - first, they give away shares, which dilutes our shareholder value, then those shares are sold at a profit by the lenders, which drops our stock price. That is why it is called 'toxic' debt.
Any time you invest in any OTC stock, that is the first thing you should learn about. If you decide to invest, you should know what to expect. Hard to flip a stock whose price is controlled by sellers alone.
